1. Overview#

This Terms of Service Agreement ("Agreement") is between you and BuildCalendar. This Agreement is effective upon your use of the website https://buildcalendar.com (the "Site") and its products/services ("Services").

By using the Site or Services, you accept this Agreement and our separate Privacy Policy. "We", "us", and "our" refer to BuildCalendar. "You", "your", "User", or "customer" refers to anyone who accepts this Agreement or uses the Site or Services. This Agreement grants no third-party rights. BuildCalendar may modify this Agreement at any time, effective immediately upon posting. For any significant changes, BuildCalendar will notify users in advance, either through an email or a prominent notice on the Site. 2. Eligibility#

  • Promotes, encourages, or engages any kind of violence;
  • Promotes, encourages, or engages in any spam or other unsolicited bulk email, or computer or network hacking or cracking;
  • Infringes on the intellectual property rights of another User or any other person or entity;
  • Violates the privacy or publicity rights of another User or any other person or entity, or breaches any duty of confidentiality that you owe to another User or any other person or entity;
  • Interferes with the operation of the Site;
  • Contains or installs any code, files, or programs designed to disrupt, damage, or limit the functionality of the Site or Services, or to cause harm to other users.
• You will not:
  • copy or distribute in any medium any part of the Site, except where expressly authorized by BuildCalendar;
  • copy or duplicate this Terms of Service agreement;
  • modify or alter any part of the Site or any of its related technologies;
  • access BuildCalendar's Content (as defined below) or User Content through any technology or means other than through the Site itself.

4. Intellectual Property#

Your use of BuildCalendar's Content on the Site is subject to these terms. BuildCalendar's Content includes text, software, scripts, source code, API, graphics, photos, sounds, music, videos, and interactive features, as well as trademarks and logos owned by or licensed to BuildCalendar. BuildCalendar's Content is provided "as is" for your personal, non-commercial use only and may not be used without express written consent from BuildCalendar. No rights or licenses are granted by this Agreement.

By posting User Content, you affirm that (i) you have the required rights to distribute it and (ii) it does not infringe on any third-party rights. You agree not to bypass or disrupt the security measures of the Site, including those limiting the use of the Site or User Content.

6. BuildCalendar's Use of User Content#

This Section applies to BuildCalendar's use of User Content posted to the Site. You are solely responsible for your User Content and its distribution. By posting User Content, you acknowledge that: (1) such submissions are voluntary; (2) they do not create a confidential relationship; (3) BuildCalendar has no obligation to use or compensate for your submissions. BuildCalendar may use User Submissions and User Content for the purpose of operating and improving the Services. By posting, you grant BuildCalendar a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content. This also allows other Users of the Site to access and use your User Content as permitted. These licenses terminate within a commercially reasonable time after you delete your User Content, although BuildCalendar may retain server copies. All licenses are perpetual and irrevocable. BuildCalendar reserves the right to screen and remove any User Content that violates this Agreement without prior notice.

7. Links To Third-Party Websites#

The Site may link to third-party websites not owned or controlled by BuildCalendar. BuildCalendar is not responsible for any third-party content or practices. By using the Site, you release BuildCalendar from any liability from third-party websites. Please review their terms and policies when you visit them.

8. Disclaimer Of Representations And Warranties#

You use the Site at your own risk and it is provided "as is" and "as available". BuildCalendar and its affiliates disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a specific purpose, and non-infringement. BuildCalendar and its affiliates make no warranties about the accuracy, completeness, or content of the Site or linked sites and assume no liability for them. No oral or written information from BuildCalendar or its affiliates creates a warranty. This disclaimer applies to the fullest extent allowed by law and survives any termination of your use of the Site.

9. Limitation Of Liability#

To the fullest extent permitted by law, BuildCalendar and its affiliates shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from your use of the Site or Services, including but not limited to damages for personal injury, property damage, loss of data, or service interruptions. Your sole remedy is to stop using the Site and Services. You agree that any claim or cause of action arising from your use of the Site or Services must be filed within one year of the incident, or it will be permanently barred.

10. Indemnity#

You agree to indemnify and hold harmless BuildCalendar, its officers, directors, employees, and agents from any claims, costs, losses, or damages (including reasonable attorneys' fees) arising from: (i) your use of the Site; (ii) your breach of this Agreement; and/or (iii) your violation of any third-party rights. These obligations survive termination of this Agreement or your use of the Site.

11. Data Transfer#

Your use of the Site may involve the international transfer of your data for the purpose of providing and improving the Services. By using the Site, you consent to this transfer, as described in our separate Privacy Policy.

12. Availability of Site#

We will use reasonable efforts to make the Site available 24/7. However, it may be inaccessible due to maintenance, repairs, or issues beyond our control, such as telecommunication failures. We cannot guarantee continuous or uninterrupted availability and assume no liability for any downtime.

13. Discontinued Services#

BuildCalendar may discontinue any Services at any time without prior notice. If a Service is discontinued, BuildCalendar will either provide a comparable Service or issue a refund. BuildCalendar is not liable for any modifications, suspensions, or discontinuations of Services.

14. Fees and Payments#

You agree that all payments for services will be processed by our third-party payment processor. You will pay all prices and fees at the time of ordering. Prices and fees may change at any time, effective immediately upon posting. Refunds: Eligible products/services can be refunded within 30 days of purchase. Refunds are processed within 30 days of request. You cannot receive multiple refunds for the same service.

15. No Third-Party Beneficiaries#

Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

16. Compliance With Local Laws#

BuildCalendar does not guarantee content on the Site is suitable for all locations. Access from areas where it's illegal is prohibited. Users are responsible for complying with local laws.

17. Titles And Headings#

Titles and headings are for reference only and do not affect the interpretation of this Agreement.

18. Severability#

Each clause in this Agreement shall be interpreted independently. If any part of this Agreement is deemed illegal or unenforceable by a court, the rest shall remain valid and enforceable to the fullest extent permitted by law.
